Welcome to Inuio. These Terms of Service (“Terms”) govern your access to and use of the inuio.com website and the Inuio Nexus Platform (collectively, the "Service"), operated by Inuio ("us," "we," or "our").
Please read these Terms carefully. By accessing or using our Service, you agree to be bound by these Terms, our Privacy Policy, and any additional agreements referenced herein. If you do not agree with any part of these Terms, you may not access the Service.
Definitions
- “Service”: Refers to the Inuio website, the Inuio Nexus Platform, and any related software, apps, and services provided by Inuio.
- “User,” “you,” “your”: The individual or legal entity accessing or using the Service.
- “Content”: Any text, images, information, or data uploaded, downloaded, or displayed through the Service.
- “Software-as-a-Service (SaaS)”: Cloud-based software solutions provided by Inuio, accessed online, and hosted by Inuio.
- “Software-with-a-Service (SwaS)”: A package of SaaS products bundled with professional and operational support, such as customization, implementation, consulting, and direct assistance.
Agreement to Terms
By creating an account or using any part of the Service, you confirm you have read, understood, and accept these Terms. If you are acting on behalf of a company or organization, you confirm you have authority to bind that entity.
Use of the Service
Eligibility: You must be at least 18 years old to use the Service and capable of entering into a legally binding contract under Indian law.
Your Account: Some features require a user account. You are responsible for keeping your login credentials secure and for all activity under your account. Notify us immediately of any unauthorized use.
Acceptable Use: You agree not to:
- Use the Service in any way that may harm, disable, overload, or impair it.
- Attempt unauthorized access to any part of the Service, other accounts, or systems.
- Upload or transmit any malware, viruses, or harmful code.
- Use automated scripts or bots to send excessive requests.
- Reverse engineer, decompile, or attempt to access source code.
Payment Terms
- Fee Structure: Fees for SaaS and SwaS are specified in your Service Order or invoice and are exclusive of all applicable Goods and Services Tax (GST) and levies.
- Payment Schedule: Payments are due within 7 days of invoice issuance, unless stated otherwise in your agreement or Service Order.
- Late Payment: Payments overdue by more than 14 days will be subject to a late fee of 2% per month on the outstanding amount, and overdue accounts beyond 60 days may result in suspension of services.
- Review and Adjustments: Fees and Service scope are subject to periodic review and mutual written agreement. Any change in pricing, scope, or expenses (including those for third-party tools) must be agreed in writing.
Deliverables and Performance Metrics
- Inuio will deliver SaaS and SwaS services as outlined in your executed Service Order or statement of work.
- Key performance metrics include: 99.5% uptime per calendar month, support response time within 4 business hours, and resolution targets as set in our Service Level Agreement (SLA).
- Quarterly performance reviews will be held to assess service quality and discuss improvements.
- Inuio may update deliverables or service standards with reasonable advance notice.
Client Responsibilities
- Provide prompt access to information, resources, and approvals needed for service delivery.
- Collaborate with Inuio teams for onboarding, troubleshooting, and timely resolution of issues.
- Comply with these Terms, all applicable laws, and usage procedures.
- Assign a point of contact for all account and Service communications.
- Keep account credentials and access information confidential.
Confidentiality
- Both parties will protect each other’s confidential information, including business practices, data, software, and technical documents.
- Confidentiality obligations last for two (2) years after termination unless Indian law states otherwise.
- Report any data breach promptly and cooperate to mitigate harm.
Disclosure is permitted only as required by law or with written consent.
Data Protection, Privacy, and Compliance
- Inuio uses comprehensive security processes and complies with the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, and all other relevant laws in India.
- Both parties must follow Indian data privacy, intellectual property, and tax laws.

Intellectual Property Rights
- Inuio retains all rights to the Service, software, documentation, and related materials unless stated otherwise.
- You receive a limited, non-exclusive, non-transferable license to use the Service for your business during your subscription.
- Customizations or derivative works are owned as agreed in writing.
- All client-owned content and data remain your property, except as set out in these Terms.
Limitation of Liability
- Inuio and its affiliates will not be liable for indirect, incidental, special, or consequential damages or loss of profits, revenue, or data.
- Our total liability for any claim is limited to fees paid by you in the 12 months preceding the claim.
- This limitation does not apply in cases of gross negligence, willful misconduct, or breach of confidentiality.
Indemnification
You agree to defend, indemnify, and hold Inuio (and its staff and contractors) harmless from any third-party claims, expenses, or damages arising from your breach of these Terms, applicable law, or the rights of others.
Force Majeure
Neither party is responsible for delays or failures caused by events outside their control, including acts of God, natural disasters, war, civil disorder, labor disruptions, internet outages, and government actions. The affected party must notify the other promptly and take reasonable steps to minimize impact.
Termination
- These Terms remain effective during your active subscription unless ended as provided here.
- Either party may terminate for material breach with 15 days’ written notice if the breach is uncured.
- On termination, both parties will fulfill any obligations and assist in an orderly transition, including return or destruction of confidential data if required.
Notices
All legal notices must be provided in writing, by email and/or registered post, using contact details in your Service Order or as communicated in writing by either party.
Assignment and Subcontracting
Neither party may assign, transfer, or subcontract rights or obligations under these Terms without prior written consent, except to a successor following a merger or acquisition.
Changes to Terms
We may update these Terms at any time. Material changes will be communicated at least 30 days before taking effect. If you continue to use the Service after changes become effective, you agree to the updated Terms.
Governing Law and Jurisdiction
These Terms are governed by Indian law. Any disputes will be resolved exclusively in the courts of Bangalore, India.
